Recipient: The individual completing this form.

CONFIDENTIAL INFORMATION means all information disclosed by GROOVIA including music and audio materials, compositions and writing materials, project files and production assets, creative direction and brand materials, commercial and release information, and business and operational information.

PURPOSE means enabling commercial discussions regarding the Confidential Information for sync licensing consideration only.

CONFIDENTIALITY OBLIGATIONS
You must keep all Confidential Information secret and confidential; not use it for any purpose other than the Purpose; take all steps reasonably necessary to safeguard it; and immediately notify GROOVIA of any breach.

SCOPE These obligations begin on the date of acceptance and continue until all Confidential Information is in the public domain.

GOVERNING LAW Queensland, Australia.

Nothing in this agreement limits the operation of the Competition and Consumer Act 2010 (Cth). The Recipient is liable for and indemnifies GROOVIA for any loss arising from breach of this agreement.
